TERM AND ACCEPTANCE The WHL 2025 Adam Grant – VIP Experience is designed to randomly reward a Participant that either refers new registrants to Workhuman Live 2025 (the “Event”) or is referred by another registrant to attend the Event with a ticket to Adam Grant’s VIP Experience at the Event (“Promotion”). The Promotion begins December 11, 2024 and ends on January 31, 2025 at 12:00pm Eastern Standard Time (“Promotion Term”). The terms and conditions outlined herein will govern the Promotion for the Promotion Term. Participation in the Promotion constitutes full and unconditional agreement to these terms and conditions. 2. ELIGIBLITY The Promotion is only available to U.S. and Canadian residents, 18 years of age or older that satisfy the other conditions set forth herein (“Participants”). Employees of Sponsor as well as the immediate family (spouse, parent, sibling, and child) and household members of each such employee are not eligible. In order to be eligible, Participants must either: (A) be registered to attend Workhuman Live 2025(and have paid in full); and refer a new attendee to register for Workhuman Live 2025 and have the new attendee include their name in the “Referred By” field at the time of payment and registration; or (B) be registering to attend Workhuman Live 2025 and include the name of a registered attendee (that has paid in full) in the “Referred By” field during registration. No other means of entry will be accepted for the Promotion. Participant can be included in the “Referred By” field on multiple registrations. Each new registration including Participant’s name in the “Referred By” field will be considered one (1) entry. Winners of the Promotion will be ineligible to win additional prizes under the Promotion, if any. Submissions must be made before the end of the Promotion Term. 3. PURCHASE EXCEPT AS OTHERWISE SET FORTH ABOVE, NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER THE PROMOTION. 4. PRIZES The prize offered to an eligible winner of the Promotion will be one (1) ticket to attend Adam Grant’s VIP Experience at Workhuman Live 2025. The approximate retail value of the prize is $100.00. 5. PRIZE DRAW/NOTIFICATION One (1) winner will be randomly selected from entries properly submitted on February 28, 2025. Odds of winning depend upon the number of eligible entries submitted during the Promotion Term. The winner will be notified by the email provided during their registration within one (1) day after the selection. In the event that a potential winner is disqualified for any reason, Sponsor may, in its sole discretion, award the applicable prize to an alternate winner. Within twenty-four (24) hours following notification of winning, the winner must confirm acceptance of the prize. Where applicable, winners may also be required to execute a standard Affidavit of Eligibility and complete any applicable tax documents. If the winner fails to provide an email confirmation of acceptance of prize within twenty-four (24) hours, then they may forfeit their right to claim the prize and Sponsor may select a new winner. Upon acceptance of the prize, Sponsor will send any additional details required for redemption to the winners. 6. PRIZE RESTRICTIONS Prizes may not be transferred or assigned and must be accepted as awarded. No cash or other substitution may be made, except by Sponsor, who reserves the right to substitute the prize with another prize of equal or greater value for any reason as determined by Sponsor in its sole discretion. 7. MODIFICATION/NOTICE Sponsor may suspend, modify, or terminate the Promotion, in whole or in part, for any reason, at any time. 8. TAXES AND ACCESS FEES Winners are responsible for reporting and/or paying any applicable federal, state, and local taxes associated with receiving a prize as a result of participation in the Promotion. Participants are responsible for any applicable telephone or Internet access fees that they incur while participating in the Promotion. 9. AUDIT Sponsor may audit all prize claims. Participants shall cooperate and assist Sponsor with any audit. Participants are liable to Sponsor for the dollar value of any prize and any costs associated with any violation or misuse of the Promotion by the Participant. 10. RESPONDENT INFORMATION Information collected from Participants is subject to the terms of Sponsor’s privacy policy at http://www.workhuman.com/privacy-policy/. 11. INTELLECTUAL PROPERTY RIGHTS All rights to any trademarks, logos, phrases, titles, or other content used in connection with the Promotion (“Sponsor Intellectual Property”) are the exclusive property of the Sponsor. Participants may not sell, license, rent, copy, distribute, alter, display, or transmit any of Sponsor’s Intellectual Property. 12. NO LIABILITY By participating in the Promotion all respondents agree to release, discharge, indemnify and hold harmless the Sponsor and its respective officers, directors, employees, representatives and agents from and against any claims made by any respondent, or any other third parties, related in any way to the operation of the Promotion as well as any other claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from receipt, acceptance, possession, misuse or use of a prize or participation in the Promotion 13. ADDITIONAL TERMS Sponsor is not responsible for printing or typographical errors in any material; late, lost, misdirected or incomplete entries; undeliverable prize notification emails, unclaimed or undelivered prizes or for any computer, software, telecommunications network, website or electronic defect, error or failure regardless of reason. All promotions are governed by, and will be construed in accordance with, the laws of the Commonwealth of Massachusetts, without giving effect to any choice of law or conflict of law rules. The exclusive jurisdiction and venue for proceedings involving claims or disputes arising hereunder shall be the courts of competent jurisdiction sitting within Suffolk County, Massachusetts. If any provision of these terms and conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Sponsor’s failure to enforce any term of these Terms and Conditions shall not constitute a waiver of that provision. The offer under any Promotion is void where prohibited by law. This Promotion is in no way sponsored, endorsed, or administered by, or associated with, Instagram or any of their affiliates. YOU RELEASE INSTAGRAM, OF ALL LIABILITY RELATED TO THIS CONTENT TO THE FULL EXTENT PERMITTED BY LAW. Any Participant who creates multiple accounts with Instagram for the purpose of increasing the odds of winning this Promotion will be disqualified. As a condition of entry into the Promotion, except where prohibited by law, each Participant and each winner by accepting a prize grants to Sponsor all right, title and interest in, to publicize, broadcast, display and/or otherwise use, the Promotion Participant’s name, city, state, and biographical material (collectively, “Licensed Rights”) in any media for advertising and publicity purposes, without additional review, compensation, or approval from the winner. As a further condition of entry into the Promotion, each Participant, and each winner by accepting a prize, grants Sponsor a worldwide, royalty-free, non-exclusive, perpetual license to display, reproduce, distribute, prepare derivative works of, and otherwise use any of the answer text submitted with an Participant’s entry, in any media and for any purpose, without additional review, compensation, or approval by the Participant. Entries must not infringe upon the legal rights, including copyrights, trademarks, contract rights, or any other intellectual property rights of any other person or entity. If Winner does not respond to notification, or is not present when prize delivery is accepted, such prize will be forfeited. By participating, Participants agree to be bound by the Official Rules and the decisions of the judges, which are final and binding in all respects. 14.
